General terms of sale

These General Terms of Sale govern the commercial relationship between AYAWOOD Togo SARL and its professional clients for the purchase of sawn teak for export. Placing an order implies full acceptance of these terms.
01 Purpose
These terms define the conditions under which AYAWOOD Togo SARL (“the Seller”) sells its wood products — mainly sawn teak (Tectona grandis) — to professional buyers (“the Buyer”).
02 Products
The products offered are sawn teak in Indian and metric dimensions, intended for professional use. Species, dimensions, grades and availability are provided by quote. Photographs and illustrations on the site are indicative only.
03 Quotes and orders
Every sale is preceded by a quote based on the information provided by the Buyer (species, dimensions, volume, destination, documentation requirements). The quote specifies the specifications, price, Incoterms and lead time. The order becomes firm upon the Buyer's written confirmation and the Seller's acceptance of the quote.
04 Prices
Prices are stated on the quote, in the agreed currency, excluding taxes, transport and insurance costs, unless otherwise stipulated. They may be revised in the event of a significant change in market, exchange-rate or freight conditions between the issue of the quote and order confirmation.
05 Payment
Payment terms (deposit, balance, instruments and deadlines) are set out in the quote or sales contract. If payment is not made when due, the Seller may suspend deliveries and charge late-payment penalties. Payment is only final once the funds have actually been received.
06 Delivery and export
Deliveries are made according to the Incoterms agreed in the quote (notably FOB Lomé, CIF, CFR). Lead times are indicative and depend on availability and on port, customs and shipping formalities. The Seller cannot be held liable for delays caused by circumstances beyond its control (force majeure, strikes, port or shipping disruptions).
07 EUDR compliance and documentation
For the markets concerned, AYAWOOD provides traceability and due diligence documentation aligned with EUDR requirements (plot geolocation, legality and deforestation information). The Buyer agrees to cooperate in providing the necessary information. EUDR-ready documentation does not constitute an automatic guarantee of compliance; final responsibility for placing products on the EU market lies with the relevant economic operator under the applicable regulation.
08 Receipt and claims
The Buyer must inspect the products on receipt. Any apparent claim (quantity, transport damage) must be made in writing within 48 hours, with reservations noted on the transport document. Claims relating to non-apparent defects must be reported within a reasonable time and no later than 30 days after delivery.
09 Warranties
Products are guaranteed to conform to the specifications of the accepted quote. As teak is a natural material, variations in colour, grain and moisture are inherent to the product and do not constitute defects. All warranties are excluded in the event of improper storage, unsuitable drying or non-compliant use by the Buyer.
10 Liability
The Seller's liability is limited to the value of the delivered products that are the subject of the claim. Under no circumstances shall the Seller be liable for indirect damages, loss of profit or operating losses suffered by the Buyer.
11 Governing law and disputes
These terms are governed by Togolese law, subject to mandatory rules applicable in the Buyer's country. In the event of a dispute, the parties will seek an amicable solution. Failing that, the courts of Lomé shall have jurisdiction, unless a mandatory provision states otherwise.
